Acceptance and order of documents

These Terms of Service (“Terms”) govern access to and use of OpenDeed’s websites, applications, support, AI-assisted features, and related services (the “Service”). By accessing or using the Service, you agree to these Terms.

If you use the Service for an organization, you confirm that you have authority to bind it. If your organization has a signed customer agreement, order form, or data processing agreement with OpenDeed, that document controls to the extent of any conflict with these Terms.

Accounts and authorized users

You must provide accurate account information, keep credentials confidential, and use only accounts assigned to you. You are responsible for activity under your account unless caused by OpenDeed’s breach of its obligations.

Customer administrators control invitations, roles, permissions, integrations, and workspace configuration. Notify us promptly if credentials are compromised or an account should be disabled.

The Service

OpenDeed organizes property operations around submission, extraction, review, approval, signing, notification, archive, and integration workflows. Features may vary by plan, configuration, location, and third-party availability.

We may improve or change the Service. We will not materially reduce paid core functionality during an active subscription without reasonable notice, except where necessary for security, law, or third-party platform changes.

Acceptable use

You may use the Service only for lawful business purposes and in accordance with your organization’s authorization.

  • Do not access records or accounts without authorization
  • Do not upload unlawful, infringing, malicious, deceptive, or unnecessarily sensitive content
  • Do not probe, disrupt, overload, bypass security, or introduce harmful code
  • Do not scrape, reverse engineer, resell, or use the Service to build a competing product except where law expressly permits
  • Do not use automated output as the sole basis for decisions that require professional judgment or materially affect a person’s rights

Customer data and permissions

As between you and OpenDeed, the customer retains its rights in content and data submitted to the Service (“Customer Data”). The customer grants OpenDeed a limited right to host, process, reproduce, transmit, and display Customer Data only as needed to provide, secure, support, and improve the contracted Service and meet legal obligations.

You confirm that you have the rights, notices, consents, and lawful authority needed to submit Customer Data and direct our processing. You are responsible for the accuracy of source records and for configuring appropriate access.

AI-assisted features

AI-assisted features may extract text, classify files, suggest categories, prepare fields, summarize content, or flag uncertainty. Outputs may be inaccurate, incomplete, or unsuitable for a particular purpose.

Authorized users must review material outputs against original evidence before approval, payment, signing, filing, synchronization, or any decision affecting a person. OpenDeed does not provide legal, accounting, real estate, tax, or other professional advice.

Third-party services and integrations

The Service may connect with third-party platforms selected by a customer, including property management, signing, communication, storage, and identity services. Your use of those services is governed by their terms and policies.

OpenDeed is not responsible for a third party’s systems, content, availability, or changes. You authorize us to exchange the information needed to perform integrations you enable.

Fees and taxes

Paid plans, usage limits, billing periods, renewal, and cancellation terms are stated in the applicable order form or checkout. Fees are non-refundable except where the agreement or applicable law says otherwise. The customer is responsible for applicable taxes other than taxes on OpenDeed’s income.

OpenDeed ownership and feedback

OpenDeed and its licensors own the Service, software, interfaces, documentation, branding, and related intellectual property, excluding Customer Data. These Terms grant only a limited, non-exclusive, non-transferable right to use the Service during the authorized term.

If you provide feedback, you allow OpenDeed to use it without restriction or payment, provided we do not identify you publicly without permission.

Confidentiality and privacy

Each party will protect the other party’s non-public business, technical, and commercial information using reasonable care and use it only for the relationship. This obligation does not apply to information that is public without breach, independently developed, rightfully received, or required to be disclosed by law.

Our Privacy Policy explains how OpenDeed handles personal information. A signed data processing agreement or customer agreement may provide additional commitments.

Suspension and termination

We may suspend access when reasonably necessary to prevent harm, address a security risk, comply with law, respond to non-payment, or stop a material breach. Where practical, we will give notice and an opportunity to cure.

Either party may terminate as allowed by the applicable order or agreement. On termination, access ends and Customer Data is handled under the agreement, documented export options, retention process, and applicable law. Provisions that by their nature should survive will survive.

Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” OpenDeed disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

OpenDeed does not guarantee that AI output, third-party data, integrations, or synchronized records will be accurate or complete. Users must review source evidence and maintain appropriate business controls and backups.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from the Service.

Except for payment obligations, misuse of intellectual property, breach of confidentiality, indemnity obligations, fraud, wilful misconduct, or liability that cannot legally be limited, each party’s total liability arising from the Service will not exceed the amounts paid or payable to OpenDeed for the Service during the 12 months before the event giving rise to the claim.

Indemnity

You will defend and indemnify OpenDeed from third-party claims arising from Customer Data, your unlawful or unauthorized use of the Service, or your material breach of these Terms, except to the extent caused by OpenDeed. OpenDeed will provide prompt notice and reasonable cooperation, and you may not settle a claim in a way that admits fault or imposes obligations on OpenDeed without consent.

Governing law and disputes

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in British Columbia will have exclusive jurisdiction, unless a signed customer agreement states otherwise.

Changes, general terms, and contact

We may update these Terms as the Service or law changes. We will post the revised Terms with a new effective date and give additional notice of material changes where required. Continued use after the effective date means you accept the revised Terms.

Neither party may assign these Terms without the other’s consent, except in connection with a merger, reorganization, sale of substantially all assets, or to an affiliate. These Terms are the complete agreement on their subject, and unenforceable provisions will be limited without affecting the rest. Questions may be sent to support@opendeed.ai.
